These terms govern your use of the KAJV website (kajv.site) and any engagement of our consultancy services. By accessing this website or engaging our services, you agree to be bound by these Terms.
1. Introduction
These Terms & Conditions (“Terms”) constitute a binding agreement between you and KAJV (“KAJV”, “we”, “us”, “our”), a consultancy operating from the Republic of Costa Rica. They govern your access to and use of the website located at kajv.site (the “Website”) and the software development, data engineering, analytics, artificial intelligence, and business automation services we offer (the “Services”).
By accessing the Website, submitting a contact form, or engaging our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Website or our Services.
2. Contact Information & Legal Identification
KAJV is a consultancy identified by the business name “KAJV”, operating in Costa Rica. For all notices, questions, or requests regarding these Terms or the handling of your personal data, you may contact us at [email protected].
These Terms were prepared in the framework of Costa Rican law. Where a conflict arises between the English and Spanish versions of these Terms, the Spanish version shall prevail for all official purposes, as Spanish is the official language of Costa Rica.
3. Services
KAJV provides software development, data engineering, analytics, artificial intelligence, and business automation consultancy services, delivered remotely and/or on-site as agreed between the parties.
Any specific service engagement will be governed by a separate written proposal, statement of work, or agreement that references these Terms (“Engagement Agreement”). In the event of any conflict between an Engagement Agreement and these Terms, the Engagement Agreement shall prevail.
KAJV does not provide legal, accounting, or regulated professional advice unless explicitly agreed in writing.
4. Intellectual Property
Unless otherwise agreed in writing, all intellectual property rights in and to the Website, our branding, marketing materials, and any pre-existing tools, libraries, code-frameworks, and methodologies (“Pre-Existing Property”) remain the sole property of KAJV or its licensors.
Upon full and verified payment for a specific deliverable, ownership of the custom code, designs, and documentation created specifically for a client (“Client Deliverables”) transfers to that client. KAJV’s Pre-Existing Property used to create the deliverable remains licensed to the client, on a non-exclusive, non-transferable, perpetual basis, solely for the client’s use of the Client Deliverables.
You may not reproduce, copy, or exploit the Website or any KAJV content for commercial purposes without our prior written consent.
5. Your Obligations
When using the Website or engaging our Services, you agree to:
- Provide accurate, complete, and current information, including in any contact or intake form;
- Ensure you have all necessary rights, licenses, and consents to any materials, data, or content you provide to KAJV, including personal data of third parties;
- Use the Website lawfully and not attempt to disrupt, overload, or compromise its security or the security of any KAJV systems;
- Maintain the confidentiality of any credentials, accounts, or access to systems provided to you in connection with our Services;
- Comply with all applicable laws, including Costa Rica’s personal data protection legislation, when using the Services.
6. Personal Data & Data Protection (Ley 8968)
To the extent the Website or our Services involve the processing of personal data, such processing is carried out in accordance with Costa Rica’s Law No. 8968 on Protection of the Person Against the Processing of Their Personal Data (“Ley 8968”) and its implementing regulations.
By submitting personal data through the Website (for example, via the contact form), you expressly and freely consent to its processing by KAJV for the purpose of responding to your inquiry and managing our relationship with you.
You retain all rights granted to data subjects under Ley 8968, including the rights of access, rectification, cancellation (suppression), and opposition (“ARCO rights”). You may exercise these rights at any time by contacting us at [email protected].
We may share your personal data with third-party service providers (such as form-submission and email providers) required to deliver our Services. Where personal data is transferred outside Costa Rica, we take reasonable measures to protect it, consistent with Ley 8968. Our data-handling practices are described in further detail in our Privacy Policy.
7. No Guarantees & Disclaimers
The Website and all content are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Website will be uninterrupted, secure, error-free, or free of viruses or other harmful components.
While we aim to deliver high-quality Services, we do not warrant that any particular business result will be achieved from an engagement.
8. Limitation of Liability
To the maximum extent permitted by applicable law, KAJV shall not be liable for any indirect, incidental, special, punitive, or consequential damages, or any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with these Terms, the Website, or the Services.
Except as expressly provided in an Engagement Agreement, our total aggregate liability for any claim arising out of or relating to these Terms or our Services shall not exceed the total amount actually paid by you to KAJV for the specific Services giving rise to the claim.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under Costa Rican law.
9. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of Costa Rica, without regard to conflict-of-law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms, the Website, or the Services shall be submitted to the exclusive jurisdiction of the competent courts of San José, Costa Rica, unless otherwise expressly agreed in a written Engagement Agreement.
This Article shall survive the termination of these Terms and any use of our Services.
10. Changes to These Terms
We may revise these Terms at any time by updating this page. We will indicate the effective date of the latest revision at the top of this page.
Your continued use of the Website or engagement of our Services after any changes take effect constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
11. Severability & Entire Agreement
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be interpreted as closely as possible to the parties’ original intent.
These Terms, together with any Engagement Agreement, constitute the entire agreement between you and KAJV regarding the subject matter herein and supersede all prior agreements and understandings.
